Draft for review. This document is a working draft and has not yet been reviewed by a lawyer. Highlighted [bracketed] items are to be completed before publication.

1. About these terms

These Terms govern services provided by Prakash Vakhesa, trading as Initedge ("we", "us"), of House No. 14, Aangan Township, Madhura, Junagadh, Gujarat, India 362015, to the client ("you"). A written proposal or statement of work you accept forms part of the agreement. If the proposal conflicts with these Terms, the proposal prevails for that project.

2. Services and proposals

We provide the services described in your accepted proposal. A proposal is valid for the period stated in it, or 30 days if none is stated. Anything not described in the proposal is outside scope and handled through a change request.

3. Your responsibilities

You agree to provide accurate information, content, images and access on time, and to give feedback within the agreed periods. You confirm that you have the right to use the materials you give us. Delays caused by late feedback or content may move the schedule and, where the delay is long, may incur additional charges.

4. Fees and payment

Fees, currency and payment dates are set out in the proposal and invoices. Unless agreed otherwise, projects are paid in milestones, with a deposit before work starts. Invoices are due within the period stated on them. We may pause work on overdue invoices. Quoted fees exclude taxes and third-party costs (such as domains, hosting, licences and payment-provider fees) unless stated. Please see our Refunds & Cancellation policy.

5. Change requests

If you ask for work outside the agreed scope, we will describe the effect on price and schedule in writing. Work on the change begins only after you approve it.

6. Intellectual property

On receipt of full payment, we assign to you the rights in the deliverables created specifically for you. Until then, we grant you a licence to use work in progress only for review. We retain the rights in our pre-existing tools, code libraries, templates and know-how, and grant you a non-exclusive, perpetual licence to use any of these that are embedded in the deliverables. Third-party and open-source components remain under their own licences.

7. Portfolio use

Unless you tell us otherwise in writing, we may describe the project and show non-confidential screenshots in our portfolio. We will not disclose confidential information.

8. Confidentiality

Each party will keep the other's confidential information private and use it only for the project, except where disclosure is required by law. We will sign a separate NDA on request.

9. Warranties and defects

We will perform the services with reasonable skill and care. For a period of 30 days after launch, we will fix defects in the deliverables that do not meet the agreed specification, at no extra charge, provided they are reported in writing. This warranty does not cover changes made by others, third-party services or new requirements.

10. No guarantee of results

We do not guarantee particular results such as search rankings, traffic, leads or sales. Outcomes depend on many factors outside our control, including search-engine algorithms and market conditions.

11. Third-party services

Your project may rely on third-party platforms (for example hosting, payment providers, app stores and analytics). Those services are governed by their own terms, and we are not responsible for their availability or changes.

12. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill. Our total liability arising from a project is limited to the fees you paid for that project in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or death or personal injury caused by negligence.

13. Termination

Either party may end the agreement for material breach that is not remedied within 14 days of written notice. You may cancel a project in line with the Refunds & Cancellation policy. Clauses that by nature should continue (payment, intellectual property, confidentiality, liability) survive termination.

14. Changes to these Terms

We may update these Terms. The version in force when you accept a proposal applies to that project.

15. Governing law

These Terms are governed by the laws of India, and the courts at Junagadh, Gujarat shall have exclusive jurisdiction. Mandatory consumer-protection rights that apply to you where you live are not affected.
